Amending and restating the terms and conditions for senior unsecured bonds due 2024
On 9 September 2020 Genova Property Group AB (publ) (“Genova”) issued SEK 400m, under a framework of SEK 750m, of senior unsecured bonds due 9 September 2024 (ISIN SE0014808820) (the “Bond” or the “Bond Issue”). Since the Bond Issue, Genova has further increased its focus on sustainability and has also established a Green Finance Framework. Conditional upon the completion of the contemplated subsequent issue of green Bonds as described below, Intertrust (Sweden) AB, the agent representing the Bondholders, has upon Genova’s request agreed to amend the terms and conditions for the Bonds in accordance with Clause 17.1 (a) of the terms and conditions of the Bond in order to be able to classify the Bond as a ‘green’ Bond.

Contemplated subsequent issue of green Bonds
Genova has mandated Nordea Bank Abp as sole arranger and bookrunner to arrange a series of fixed income investor meetings commencing on 17 August 2021, to investigate the possibility to issue subsequent SEK denominated green Bonds under its existing Green Finance Framework. A capital market transaction will follow, subject to, inter alia, market conditions.
The proceeds from the contemplated subsequent issue will be used in accordance with the Genova’s Green Finance Framework.
