Genova completes subsequent issue of green senior unsecured bonds due 2024 and amends and restates the terms and conditions for its existing senior unsecured bond due 2024

Genova Property Group AB (publ) (“Genova”) has today successfully placed subsequent senior unsecured green bonds in the amount of SEK 250m due 9 September 2024 (the “Subsequent Green Bonds”) under the existing framework of SEK 750m with ISIN SE0014808820 (the “Bond”). Following the issue of Subsequent Green Bonds, SEK 650m will be outstanding. The Subsequent Green Bonds will be issued at a price of 101% of nominal amount corresponding to a coupon of 3 months STIBOR plus approximately 415 basis points. Genova intends to apply for listing of the Subsequent Green Bonds on the sustainable bond list of Nasdaq Stockholm.

An amount equal to the net issue proceeds of the Green Subsequent Bonds, together with the SEK 400m issued in September 2020, will be used in accordance with Genova’s green finance framework.

Following the successful placement of the Subsequent Green Bonds and as announced by Genova in a press release dated on 16 August 2021, Intertrust (Sweden) AB (the agent representing all Bondholders) and Genova have amended and restated the terms and conditions for the Bond in accordance with Clause 17.1 (a) of the terms and conditions of the Bond and consequently the Bond will as of today be classified as a ‘green’ Bond.
